1. Introduction
This Service Agreement outlines the terms under which Ilays Solutions (“we”, “our”, or “us”) provides digital services to its clients (“you”, “your”, or “the Client”). By engaging with our services, you agree to be bound by the following terms and conditions.
2. Scope of Services
We offer professional digital services including:
Website Design & Development
UI/UX Design
Website Maintenance & Security
Digital Marketing & Ads Management
Technical Consulting & Support
Specific service details, timelines, and deliverables will be outlined in your project proposal or subscription package.
3. Payment Terms
A 60% upfront deposit is required for all one-time projects.
The remaining balance is due upon project completion or as per agreed milestones.
Maintenance and retainer services are billed monthly , quarterly , or annually .
Payments must be made within 7 days of invoice issuance.
Services may be suspended after a 30-day grace period of non-payment.
4. Ownership & Licensing
Final deliverables become the Client’s property once full payment is received.
Ilays Solutions retains the right to showcase completed work in portfolios, unless otherwise agreed in writing.
Proprietary tools, plugins, or software developed by Ilays Solutions remain our intellectual property unless otherwise licensed.
5. Maintenance & Support
Clients on a maintenance plan benefit from:
Regular website updates and backups
Security monitoring and patching
Monthly performance and analytics reports
Priority email support
Any support outside the agreed plan may be billed separately.
6. Revisions & Turnaround
Projects include a limited number of revision rounds (typically 2–3).
Excessive revisions or scope changes may incur additional charges.
Project timelines depend on client responsiveness and the scope of work.
7. Confidentiality
All client data and business information will be treated as strictly confidential and will not be shared or reused without your consent
8. Disclaimer & Liability
While we strive for excellence, Ilays Solutions is not liable for:
Issues caused by third-party services or hosting providers
SEO or ad campaign performance beyond our control
Unauthorized changes made by others on your website
We are not responsible for data loss unless you are on a maintenance plan that includes backup services
9. Termination
Either party may terminate this agreement with 14 days’ written notice .
Any unpaid work completed will be billed accordingly.
Ongoing services may be discontinued after repeated non-payment or violation of terms.
10. Acceptance
By engaging Ilays Solutions for services or paying an invoice, the Client acknowledges that they have read, understood, and agreed to this Service Agreement.
